1. Acceptance of Terms

Welcome to Minovative Mind! These Terms of Use ("Terms") govern your access to and use of the Minovative Mind application, including all related websites, software, services, and features (collectively, the "Service"), provided by Minovative Technologies, located in Dallas, Texas (hereinafter "we," "us," or "our").

By accessing or using the Service, you ("you" or "User") agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access or use the Service. These Terms constitute a legally binding agreement between you and us.

2. Description of Service

Minovative Mind is an AI-powered code analysis and collaborative tool that provides insights into GitHub repositories. The Service allows Users to:

The Service integrates with third-party services, including but not limited to GitHub and Google Gemini AI.

  • Browse and visualize the structure of GitHub repositories using an interactive map.
  • Analyze code quality of individual files using AI models to identify potential issues and suggest improvements.
  • Engage in AI-assisted chat about your codebases, leveraging repository context, including discussing Pull Requests and Issues.
  • Manage branches within connected GitHub repositories, including viewing and automatically creating an 'ai-assist' branch.
  • Track selected repositories and store chat sessions and analysis results persistently.

3. User Accounts

  • Eligibility: You must be at least 13 years old to use the Service. If you are under 18, you represent that you have your parent or guardian's permission to use the Service. By agreeing to these Terms, you represent and warrant that you meet these requirements.
  • Account Security: You are responsible for maintaining the confidentiality of your account credentials (Firebase login) and the security of your connected GitHub account. You are responsible for all activities that occur under your accounts. You agree to notify us immediately of any unauthorized access to or use of your accounts.
  • Account Suspension/Termination: We reserve the right to disable your account at any time, with or without cause, including but not limited to violation of these Terms, suspected fraudulent activity, security concerns, or inactivity. We will make reasonable efforts to notify you prior to being disable, but are not required to do so.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in a manner that does not infringe upon the rights of others or restrict or inhibit their use and enjoyment of the Service. Prohibited activities include, but are not limited to:

  • Violating any applicable federal, state, or local laws, regulations, or third-party rights, including Texas state laws.
  • Uploading, transmitting, or distributing any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable. This includes content that violates Texas Penal Code Section 42.07 (Harassment).
  • Impersonating any person or entity or falsely stating or otherwise misrepresenting your affiliation with a person or entity.
  • Interfering with or disrupting the Service or servers or networks connected to the Service.
  • Engaging in any activity that could damage, disable, overburden, or impair the Service.
  • Attempting to gain unauthorized access to any portion of the Service or any other systems or networks.
  • Scraping, data mining, or otherwise extracting data from the Service without our express written permission.
  • Using the Service to develop competing products or services.
  • Reverse engineering or attempting to discover the source code of the Service.
  • Using the Service for any commercial purpose without our express written consent.
  • Circumventing or attempting to circumvent any security measures implemented by the Service.
  • Transmitting unsolicited commercial email or "spam" to other users of the Service.

5. Intellectual Property

  • Our Content: The Service and its original content (including but not limited to text, graphics, logos, images, software, and code) are owned by us or our licensors and are protected by copyright, trademark, and other intellectual property laws under United States and Texas law. You may not reproduce, modify, distribute, display, or create derivative works of our content without our express written permission.
  • User-Generated Content & Repository Data: You retain ownership of any code or content from your connected GitHub repositories that you interact with through the Service ("User Content"). However, by connecting your GitHub account and using the Service to analyze or discuss your repositories, you grant us a non-exclusive, worldwide, royalty-free license to access, reproduce, modify, adapt, analyze, process, and display your User Content solely for the purpose of providing and improving the Service functionality (e.g., code analysis, chat context, repository mapping, data storage). You represent and warrant that you have all necessary rights to grant this license and that your User Content and your use of the Service do not violate any laws or third-party rights.
  • DMCA Compliance: We comply with the Digital Millennium Copyright Act (DMCA). If you believe that your copyrighted work has been infringed, please provide us with a written notice containing the following information: (i) a physical or electronic signature of the copyright owner or a person authorized to act on their behalf; (ii) identification of the copyrighted work claimed to have been infringed; (iii) identification of the material that is claimed to be infringing; (iv) contact information for the complaining party; (v) a statement that the complaining party has a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law; and (vi) a statement that the information in the notification is accurate, and under penalty of perjury, that the complaining party is authorized to act on behalf of the copyright owner.
  • Feedback: We welcome your feedback and suggestions about the Service. By submitting feedback, you grant us a non-exclusive, worldwide, royalty-free, irrevocable, perpetual license to use, reproduce, modify, adapt, publish, translate, distribute, and display such feedback for any purpose.

You acknowledge and agree that your use of these services is at your own risk and subject to their respective terms and privacy policies. We specifically disclaim any warranty or endorsement of these third-party services.

  • GitHub: Your use of the GitHub API is subject to the GitHub Terms of Service (https://docs.github.com/en/site-policy/github-terms/github-terms-of-service). We are not responsible for the availability, accuracy, or reliability of GitHub services.
  • Google Gemini AI: Your use of the Google Gemini AI API is subject to the Google AI Terms of Service and Google's Privacy Policy (https://policies.google.com/privacy). We are not responsible for the accuracy or suitability of AI-generated content. We do not guarantee that the model will always be available.
  • Firebase: We utilize Firebase for authentication, database and storage. Your use of Firebase services is subject to Google's Firebase Terms of Service (refer to Google's official documentation for the most up-to-date link).

7. AI-Generated Content Disclaimer

The Service utilizes AI models (specifically Google Gemini AI) to analyze code, understand repository context, and provide suggestions in chat. You acknowledge and agree that:

AI-generated analysis results and chat responses are provided for informational purposes only and should not be considered professional or expert advice regarding software development, security, or architecture.

We do not guarantee the accuracy, completeness, or suitability of any AI-generated content, including code suggestions or explanations of repository content.

You are solely responsible for evaluating the accuracy, relevance, and safety of AI-generated content, including performing your own code reviews, security assessments, and testing before implementing any suggestions.

We are not liable for any damages, losses, or security vulnerabilities arising from your reliance on or implementation of AI-generated content.

AI models can sometimes produce inaccurate, irrelevant, biased, or offensive results. We are not responsible for such outputs.

It is your responsibility to ensure that the use of AI-generated content adheres to ethical and legal standards, including intellectual property laws.

We are not responsible for code generated by the AI, and it will be your responsibility to test and validate any code before using it in your projects.

8. Code Quality Analysis Limitations

The code quality analysis feature uses AI to provide a rating (RED, YELLOW, GREEN) and explanation for individual files. This analysis is a tool to assist in identifying potential issues but is not exhaustive. It is not a substitute for thorough manual code review, automated static analysis tools, security audits, or comprehensive testing. We do not guarantee that the analysis will identify all potential issues, bugs, security risks, or areas for improvement, nor do we warrant that the suggested improvements will be effective or suitable for your specific use case. You are solely responsible for ensuring the quality, security, and functionality of your code regardless of the analysis results. We disclaim any liability for defects, errors, security vulnerabilities, or other issues in code analyzed or modified based on insights obtained from this feature.

9. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, REGARDING THE SERVICE. THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED. WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, OR THAT THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THIS LIMITATION OF LIABILITY APPLIES REGARDLESS OF THE FORM OF ACTION, WHETHER IN CONTRACT, TORT, OR OTHERWISE, AND EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE EXCEED THE AMOUNT YOU PAID TO US, IF ANY, FOR ACCESS TO OR USE OF THE SERVICE IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM. IF YOU HAVE NOT PAID US FOR ACCESS TO OR USE OF THE SERVICE, OUR TOTAL LIABILITY SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR LIABILITIES, SO SOME OF THE ABOVE EXCLUSIONS AND LIMITATIONS MAY NOT APPLY TO YOU.

11. Indemnification

You agree to indemnify, defend, and hold us harmless from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your access to or use of the Service, your violation of these Terms, your infringement of any intellectual property or other right of any person or entity, or your violation of any applicable laws or regulations. This indemnification obligation includes, but is not limited to, claims arising from your User Content, your use of third-party services, or your reliance on AI-generated content.

12. Modifications to Service and Terms

We reserve the right to modify or discontinue the Service at any time, with or without notice. We also reserve the right to modify these Terms at any time by posting the revised Terms on the Service. Your continued access to or use of the Service after any such modification constitutes your acceptance of the revised Terms. It is your responsibility to check these Terms periodically for changes. We will provide reasonable notice of material changes to these Terms, but our failure to do so shall not affect the validity of the revised Terms.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms shall be resolved exclusively by binding arbitration in accordance with the rules of the American Arbitration Association ("AAA") then in effect. The arbitration shall be conducted in Dallas, Texas. The arbitrator's decision shall be final and binding on both parties and may be entered as a judgment in any court of competent jurisdiction. Each party shall bear its own costs of arbitration, but the parties shall share equally the fees and expenses of the arbitrator.

Class Action Waiver: YOU AND WE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR OUR INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

14. Termination

We may disable your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

15. Entire Agreement

These Terms constitute the entire agreement between you and us relating to the Service and supersede all prior or contemporaneous communications and proposals, whether oral or written, between you and us.

16. Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced to the fullest extent permitted by law.

17. Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision unless acknowledged and agreed to by us in writing.

19. Special Considerations for AI Chat Feature:

The AI Chat feature utilizes AI models (specifically Google Gemini AI) to engage in conversations about your codebases, leveraging the repository's file structure and content for context, and can analyze specific Pull Requests and Issues. You acknowledge and agree that:

  • No Legal or Professional Advice: The AI Chat feature is intended to provide assistance with coding-related questions only. It is not a substitute for consulting with a qualified legal, financial, or other professional advisor. We are not liable for any decisions you make based on information obtained through the AI Chat feature.
  • Content of Discussions: We do not monitor or control the content of discussions within the AI Chat feature, other than for necessary processing to provide the service. You are solely responsible for your interactions and communications with the AI. You agree not to use the AI Chat feature to transmit any content that is unlawful, harmful, or otherwise objectionable.
  • Data Retention: Your chat conversations are stored persistently in our database to allow you to resume discussions. We may retain chat logs for a limited period of time for quality assurance as outlined in our Privacy Policy. You have options to manage and delete your chat history.
  • AI Limitations: As stated in Section 7, AI can make errors, provide irrelevant information, or generate biased outputs. Exercise caution and verify any information received from the AI Chat.
  • Texas-Specific Regulations: You acknowledge that the AI Chat feature may be subject to Texas regulations concerning AI, and you agree to comply with all such applicable regulations.

20. Branch Management Feature:

The Service provides functionality to list existing branches and, with your authorization, create new branches in your connected GitHub repositories.

  • GitHub Permissions: The branch management feature requires appropriate permissions on your GitHub repository, specifically the `repo` scope for Personal Access Tokens. We are not responsible for any errors or issues arising from insufficient permissions.
  • Branch Naming: Branches automatically created by the service are intended for AI-assisted development and follow the naming convention 'ai-assist-'. You are free to use these branches but are responsible for managing them.
  • User Responsibility: You are solely responsible for all actions taken on your repository through the branch management feature, including creating, using, merging, or deleting branches. This includes responsibility for any consequences such as merge conflicts or data loss. We are not liable for any issues arising from changes made to your repository branches via the Service.
  • Data Loss: While creating a new branch typically does not involve data loss on existing branches, you are responsible for backing up your repository before performing any significant operations, including using the branch management feature. We are not liable for any data loss resulting from your use of this feature.
  • Security: You are responsible for ensuring the security of your GitHub repository and any branches created or managed using the Service. We are not liable for any security breaches or vulnerabilities that may arise from the use of this feature.

21. Export Control:

The Service may be subject to export control laws and regulations of the United States and other countries. You agree to comply with all applicable export control laws and regulations. You shall not export, re-export, or transfer the Service, directly or indirectly, to any country or person prohibited by such laws and regulations.

We shall not be liable for any failure to perform our obligations under these Terms if such failure is caused by events beyond our reasonable control, including, but not limited to, acts of God, war, terrorism, riots, embargoes, strikes, natural disasters, power outages, internet outages, or governmental actions.

23. Assignment:

You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms at any time without notice to you.

24. Texas Law Considerations:

These Terms are intended to comply with applicable Texas law. If any provision of these Terms is found to be inconsistent with Texas law, such provision shall be interpreted to the maximum extent permitted by Texas law to effectuate the intent of the parties.

25. Security Commitment & User Responsibility:

We are committed to implementing reasonable security measures to protect the Service and your data, as detailed in our Privacy Policy. However, you acknowledge and agree that:

No online service is completely secure, and we cannot guarantee the absolute security of your data.

You are solely responsible for maintaining the security of your GitHub account credentials, including using strong, unique passwords and enabling two-factor authentication. Any compromise of your GitHub account that leads to unauthorized access to the Service is your responsibility.

You should exercise caution when interacting with AI-generated content and implementing code changes suggested by the Service, as security vulnerabilities may not be identified or may be inadvertently introduced.

By using the Service, you assume the risks associated with online services, including the risk of data breaches or security incidents. We are not liable for damages resulting from such incidents unless caused by our gross negligence or willful misconduct.
