Terms of Use for Minovative Mind CLI

Welcome to the Minovative Mind CLI! These Terms of Use ("Terms") govern your use of the Minovative Mind command-line interface, its related services, and the AI features powered by Vertex AI (collectively, the "Service"). By downloading, installing, accessing, or using the Service, you ("User" or "You") agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Service.

1. Description of Service

Minovative Mind CLI is an automated AI agent designed to assist software developers by reading, reviewing, and modifying code directly within their terminal. The Service utilizes third-party Large Language Models (LLMs), primarily Google's Vertex AI (including Gemini models), to process user queries, inspect local file context, and generate code or execute terminal commands.

2. Eligibility

To use the Service, you must:

  • Be at least 18 years of age or the age of majority in your jurisdiction.
  • Have a valid GitHub account, which is required for authentication (minovative-mind-cli login).
  • Comply with all applicable local, state, national, and international laws and regulations.

3. Account, Authentication, and Local Storage

  • GitHub Login: You must authenticate using your GitHub account to access the AI models securely. You are responsible for maintaining the confidentiality of your authentication credentials and any actions taken under your account.
  • Account Security: If you suspect any unauthorized use of your account or access tokens, you must notify us immediately and revoke access via GitHub.
  • Local Credential Storage Risk Disclosure: The CLI stores authentication tokens (including Firebase user ID, refresh tokens, and session tokens) locally on your machine in plain-text JSON format at ~/.minovative-mind-cli.json. The software does not currently utilize secure OS-level enclaves (such as macOS Keychain or Windows Credential Manager). You assume all risks associated with this method of storage, and you are solely responsible for ensuring that unauthorized users or malicious software do not gain access to your local home directory or files.

4. User Responsibilities and Acceptable Use

You agree NOT to use the Service to:

  • Generate Malicious Code: Create malware, ransomware, viruses, or any code designed to disrupt, damage, or gain unauthorized access to computer systems.
  • Violate Intellectual Property: Generate or distribute content that infringes on the copyrights, trademarks, or trade secrets of others.
  • Abuse the API: Circumvent rate limits, automate requests maliciously, or attempt to reverse-engineer the CLI or the underlying AI infrastructure.
  • Process Sensitive Data: Pass Personally Identifiable Information (PII), sensitive financial data, or protected health information (PHI) into the AI agent, as local file context is transmitted to third-party LLMs for processing.

5. Intellectual Property and Proprietary Licensing

  • Your Code: You retain full ownership and intellectual property rights to the code you write and the projects you manage using the Service. Minovative Mind does not claim ownership of your local files or the code generated by the AI for your specific project.
  • The CLI: The Minovative Mind CLI software, its logo, documentation, and underlying proprietary architecture are the exclusive property of Minovative Mind and are licensed under our Proprietary License. Reverse engineering, decompilation, unauthorized modification, or redistribution of the CLI or backend infrastructure is strictly prohibited.
  • Feedback: If you provide any feedback, bug reports, or feature suggestions regarding the Service (e.g., via GitHub issues), you grant Minovative Mind a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such feedback into the Service without any obligation or compensation to you.
  • Open Source Components: While the Minovative Mind CLI architecture is proprietary, it may utilize or bundle third-party open-source software packages (e.g., via NPM). These components are provided subject to their respective open-source licenses, and nothing in these Terms restricts your rights under those licenses.

6. Disclaimer regarding Artificial Intelligence and Autonomous Command Execution

  • No Guarantee of Accuracy: The Service utilizes generative AI models. The output (code, text, or commands) may contain errors, bugs, security vulnerabilities, or hallucinations.

  • User Verification: You are strictly responsible for reviewing, testing, and validating all AI-generated code and commands before executing them or deploying them to production environments.

  • AUTONOMOUS COMMAND EXECUTION WAIVER: The CLI supports autonomous capabilities, including running arbitrary shell commands, debugging scripts, and orchestrating parallel asynchronous Thread Agents (via the MMAAK engine) directly in your local terminal environment. The CLI provides an Approval Mode (including options to ask, skip approval once, or skip all approvals for automated workflows).

    BY USING THE SERVICE, YOU EXPLICITLY ACKNOWLEDGE AND AGREE THAT:

    • Enabling any automated, bypass, or parallel orchestration mode (such as /sub-agents or skipping confirmation checks) is done at your own sole discretion and risk.
    • You assume full, unconditional liability for any commands run, scripts executed, files deleted, settings altered, parallel concurrency race conditions, or security vulnerabilities introduced by the AI agent(s) on your system.
    • Under no circumstances shall Minovative Mind, its creators, developers, or affiliates be liable for any hardware damage, data loss, repository corruption, terminal crashes, or system instability caused directly or indirectly by AI-driven single-agent or multi-agent system execution.

7. Proxy Services, Credits, and Billing

  • Routing and Proxy Services: All AI generation requests generated by the CLI are routed through our dedicated cloud proxy endpoint.
  • Credit System: Access to the AI inference service is governed by a credit-based system. Each user account starts with a specific quota of credits, which are consumed on a per-request and per-token basis.
  • Credit Exhaustion: Once your credit balance is depleted, our custom proxy service will return HTTP 402 (Payment Required) or equivalent errors, and access to AI-powered features will be suspended until additional credits are acquired.
  • No Refund / Valuation Policy: Credits have no cash or monetary value, are non-transferable, and are non-refundable.
  • No Uptime Guarantees: We do not guarantee uninterrupted availability, response times, or specific SLA uptimes for our custom proxy endpoint or the underlying Vertex AI endpoints. Service outages, latency, or API deprecations by third parties may temporarily disrupt the CLI.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. MINOVATIVE MIND EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MINOVATIVE MIND AND ITS AFFILIATES, DEVELOPERS, AND PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • YOUR USE OR INABILITY TO USE THE SERVICE.
  • ANY UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR LOCAL FILES, OPERATING SYSTEM, OR PROJECT REPOSITORIES BY THE CLI.
  • ANY ERRORS, BUGS, SECURITY VULNERABILITIES, OR DATA LOSS INTRODUCED INTO YOUR SYSTEM OR CODEBASE BY AI-GENERATED INSTRUCTIONS OR AUTONOMOUS SHELL COMMANDS.
  • THE DELETION, CORRUPTION, OR EXPOSURE OF LOCAL SOURCE CODE OR SYSTEM CONFIGURATIONS DURING SHELL ACTIONS.
  • NETWORK OR SERVICE OUTAGES OF THE PROXY ENDPOINT OR VERTEX AI.

10. Indemnification

You agree to indemnify, defend, and hold harmless Minovative Mind, its developers, affiliates, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

  • Your violation of these Terms.
  • Your use or misuse of the Service, including any hardware damage, data loss, or server downtime caused by your execution of AI-generated shell commands.
  • Any intellectual property infringement claims arising from code generated or modified by the AI on your behalf.
  • Your violation of any applicable laws, regulations, or third-party rights.

11. Third-Party Services

The Service integrates with third-party providers, including GitHub (for authentication), Google Firebase/Firestore (for telemetry and workspace state persistence), and Google Cloud Vertex AI (for AI inference). Your use of the Service is subject to the terms and conditions and privacy policies of these third-party providers. Minovative Mind is not responsible for the availability, security practices, or performance of these third-party services.

12. Modifications and Termination of Service

  • Modifications to the Service: We reserve the right to modify, suspend, or discontinue the Service, or any feature within it (such as specific models or slash commands), at any time, with or without prior notice. You agree that Minovative Mind shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Service.
  • Termination of Access: We reserve the right to suspend or terminate your access to the Service or proxy endpoints at any time, without prior notice or liability, for any reason whatsoever, including but not limited to a breach of these Terms, non-payment, rate-limiting violations, or excessive usage that degrades the Service for others.

13. Changes to Terms

We reserve the right to modify or replace these Terms at any time. We will provide notice of significant changes by updating the "Effective Date" at the top of this document or through an announcement within the CLI or our repository. Continued use of the Service after such changes constitutes your consent to the new Terms.
